Terms of Service

1. Definitions

"Grovya.ai", "we", "us" means Grovya and its affiliates.

"Site" means grovya.ai and all related pages, tools, calculators, and content.

"Services" means informational content, educational resources, tools, calculators, and features helping users understand reverse mortgages.

"You", "User" means any person using the Site.

"Broker" means the independent mortgage professional we may connect you with, including BC - Alltrust Mortgage Solutions Inc. (Brokerage Licence X301152) and ON - Dominion Lending Centres National Ltd. (Brokerage Licence #12360).

2. Agreement to Terms

By using the Site, you agree to these Terms. If you don't agree, stop using the Site immediately.

We may update these Terms anytime by posting a new version and changing the "Last Updated" date. Your continued use after updates means you accept the changes. Check this page regularly.

3. Eligibility

You represent that you:

• Are at least 18 and legally capable of forming contracts
• Are accessing from Canada for personal, non-commercial use
• Will use the Site lawfully and provide accurate information
• Have authority to share any information you submit

4. What Grovya Is (and Isn't)

We Provide:

Information, calculators, educational content, and connection to independent mortgage brokers.

We Are NOT:

Lenders, mortgage brokers, financial advisors, lawyers, or licensed professionals of any kind.

We Don't:

Offer mortgage services, provide personalized advice, make lending decisions, guarantee rates or approvals, or control broker services.

Our Tools:

Calculators provide estimates only based on your inputs and stated assumptions. They're not quotes, guarantees, or binding offers.

You Must:

Verify all information with licensed professionals, obtain independent legal and financial advice, and confirm details directly with lenders/brokers before decisions.

5. Reverse Mortgage Information

Reverse mortgages are complex financial products. We strongly recommend getting independent professional advice before proceeding.

What You Should Know:

• The loan balance grows over time as interest accumulates
• This reduces your home equity and affects what you can leave to heirs
• There are costs involved: interest rates, fees, insurance, and legal expenses
• You must maintain the property and continue paying property taxes and insurance
• The loan becomes due when you move permanently or pass away

What Our Tools Don't Cover:

Our calculators provide general estimates only. They don't account for your specific situation, including tax implications, government benefit impacts, or alternative options that might be better for you.

Before You Decide:

• Explore other options: refinancing, downsizing, or government programs
• Speak with an independent lawyer and financial advisor
• Discuss with family members about the impact
• Take your time - this is an important decision
• Make sure you understand all terms and costs

Get Independent Advice:

Consult qualified professionals who can provide advice based on your specific circumstances. Consider speaking with a lawyer, financial planner, and tax advisor before making this decision.

6. Lead Sharing and Consent

By submitting your contact information, you authorize:

• Grovya to share your info with our Broker Partner
• The Broker to contact you by phone, email, SMS, or mail
• Us to contact you about your inquiry and Site updates

Message and data rates may apply.

Opt-Out:

You can opt out of marketing messages anytime, but operational/service messages may still be sent to fulfill your requests.

Recording Notice:

"When you interact with our AI assistant (via voice or text chat), all conversations are recorded and stored. These recordings are used for quality assurance, service improvement, training purposes, and dispute resolution. By using our AI assistant, you consent to these recordings."

7. Broker Independence

The Broker operates completely independently from Grovya.

We don't:

Supervise them, participate in their client agreements, monitor their compliance, guarantee their services, or handle complaints about them.

Separate relationship:

Any agreement is between you and the Broker under their terms, not ours.

Broker Use of Your Information:

"The Broker may use your information for their own purposes beyond what's described in these Terms, subject to their own privacy policy and terms of service. We're not responsible for how the Broker uses, stores, or shares your information once it's been transferred to them."

Licensing:

Our Broker Partner is FSRA-licensed. Verify at fsrao.ca.

Complaints:

Contact the Broker directly, then FSRA if unresolved (www.fsrao.ca | 1-800-668-0128).

Grovya Regulatory Status:

We're an information platform, not FSRA-regulated (we're not brokers).

8. Your Responsibilities

Provide accurate information:

Incorrect info leads to wrong estimates and may affect service quality.

Permission for others' info:

If providing someone else's info, confirm you have their consent.

Verify everything:

Before decisions, verify all rates/terms with lenders, read all disclosure documents, understand all costs/obligations, and confirm current availability.

9. Information Accuracy Disclaimer

No Guarantees:

Our content, rates, and calculator results can be incomplete, outdated, or inaccurate. Rates change frequently. Third-party information isn't verified by us.

Calculator Limitations:

Outputs depend entirely on your inputs and stated assumptions. They don't reflect actual offers, approval terms, or all relevant factors.

Your Responsibility:

Verify important information before acting on it. Don't rely solely on Site content for financial decisions.

Opinions and Commentary:

"Any articles, analysis, or commentary on the Site represent general opinions and insights only, not financial advice. This content is not tailored to your individual circumstances. Consult licensed professionals for personalized advice."

Rate Information:

"Interest rates displayed are sourced from third parties and can change frequently - sometimes multiple times per day. Always verify current rates directly with lenders or brokers before making decisions, as displayed rates may already be outdated."

10. AI Assistant

We Use AI Technology:

Grovya uses AI-powered chat assistants to provide information and answer your questions through voice and text.

What You Should Know:

• AI provides general information based on patterns in training data
• AI responses may occasionally contain errors or outdated information
• AI cannot give you personalized advice for your specific situation
• Always verify important information with licensed professionals

How We Use Conversations:

Your conversations with our AI assistant are recorded and may be used to improve our services and AI performance. These conversations may be processed by third-party AI service providers.

Your Part:

Use AI responses as a starting point for research, not as your only source of information. For important financial decisions, consult with qualified professionals who can review your specific circumstances.

11. Prohibited Activities

You may not:

• Provide false information or misrepresent yourself
• Use the Site illegally or to harm others
• Use bots, scrapers, or automated tools to access content
• Systematically extract data or create competing databases
• Build competing products using our content or tools
• Disrupt the Site or attempt to breach security
• Transmit viruses, malware, or harmful code
• Infringe intellectual property rights
• Copy, reproduce, or commercially exploit Site content without permission
• Remove copyright notices or reverse engineer our software

Regarding AI Services, you may not:

• Attempt to manipulate, trick, or circumvent AI safety measures
• Use prompt injection or similar techniques to bypass AI restrictions
• Try to extract training data or proprietary information from AI models
• Reverse engineer or probe AI systems to discover limitations or vulnerabilities
• Use AI responses to train competing AI models or services

12. Third-Party Sites and Services

The Site links to third-party websites (lenders, brokers, government resources, etc.). We don't control, endorse, or take responsibility for third-party content, privacy practices, or terms.

Your use is at your own risk. Their terms and privacy policies apply when you leave our Site. Review them before providing information.

13. Intellectual Property

All Site content (text, graphics, logos, software, calculators, tools, designs) is owned by or licensed to Grovya and protected by intellectual property laws.

Your license:

Personal, non-commercial viewing only. You may not copy, modify, distribute, sell, or create derivative works without written permission.

Trademarks:

"Grovya.ai" and our logos are trademarks. Don't use without permission.

Your feedback:

If you provide suggestions or feedback, you grant us a perpetual, royalty-free, worldwide license to use them without compensation.

14. Privacy and Data

Your use is governed by our Privacy Policy. By using the Site, you consent to our collection, use, and sharing of information as described.

Calculator data:

Input data may be collected and used in anonymized, aggregated form for research, analytics, and statistical purposes. We may share or sell anonymized data/reports to third parties.

Broker privacy:

The Broker has separate privacy practices. Review their privacy policy.

15. Compensation

Current:

Grovya currently operates without charging users or receiving broker compensation. Our Services are free.

Future:

We may receive referral fees, advertising revenue, affiliate commissions, or other compensation from brokers, lenders, or third parties. Any arrangements won't increase costs to you - our service remains free. We'll update these Terms when our model changes.

16. Availability and Changes

We may change, suspend, or discontinue the Site or any content/features anytime without notice. We don't guarantee uninterrupted availability and aren't liable for downtime, modifications, or discontinuations.

17. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability, fitness for a particular purpose, non-infringement
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free operation
• Security or freedom from viruses

Some jurisdictions don't allow disclaimer of implied warranties, so these apply to the maximum extent permitted by law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

We're not liable for any damages including:

• Lost profits, revenue, savings, data, or opportunities
• Indirect, incidental, special, consequential, or punitive damages
• Errors in content, rates, or calculations
• Your reliance on Site information
• Broker/third-party actions or services
• Security breaches or technical failures
• Your inability to access the Site
• Errors, inaccuracies, or omissions in AI-generated responses
• Decisions made based on AI-provided information
• AI misunderstanding your questions or providing incorrect guidance

This applies even if we knew damages were possible.

Maximum liability:

Our total liability is limited to the greater of CAD $10 or amounts you paid us in the prior 12 months (currently $0).

These limitations are fundamental to our agreement and the basis for providing free Services.

19. Indemnification

You agree to indemnify and hold Grovya harmless from claims, losses, damages, and expenses (including legal fees) arising from:

• Your use of the Site or violation of these Terms
• Information you provide or your violation of others' rights
• Your interactions with Brokers or third parties
• Decisions you make based on Site information

We may assume exclusive defense of claims at your expense. This survives termination.

20. Geographic Limitations

This Site is for Canadian residents only. Content reflects Canadian laws, regulations, and markets. We make no representation that content is appropriate outside Canada.

If you access from outside Canada: You do so at your own risk, are responsible for local law compliance, and we may restrict your access.

21. Accessibility

We strive to make the Site accessible to all users. If you experience accessibility barriers, contact us at hello@grovya.ai and we'll work to address them.

22. Force Majeure

We're not liable for failures due to events beyond our control including: natural disasters, pandemics, internet/power outages, cyberattacks, government actions, or third-party service failures.

23. Termination

We may terminate your access anytime for any reason (including Terms violations, false information, or legal/security risks) without notice.

You may stop using anytime by discontinuing access.

Effect:

Upon termination, stop using the Site immediately. Sections that should survive (disclaimers, liability limitations, indemnification, governing law) remain in effect.

24. Governing Law and Disputes

Governing Law:

Ontario, Canada laws govern these Terms, without regard to conflict of law rules.

Jurisdiction:

Disputes must be brought exclusively in Ontario courts. You consent to Ontario jurisdiction and venue.

Time Limit:

You must bring claims within one (1) year after they arise, or they're permanently barred.

Class Action Waiver:

You agree to resolve disputes individually, not through class actions.

25. General Provisions

Entire Agreement:

These Terms and our Privacy Policy constitute the entire agreement and supersede all prior agreements.

Severability:

If any provision is invalid, the rest remains in effect.

No Waiver:

Our failure to enforce any provision doesn't waive future enforcement rights.

Assignment:

We may assign these Terms without notice. You may not assign without our written consent.

No Agency:

These Terms don't create a partnership, employment, or agency relationship.
